As per our articles of Incorporation, By-Laws and WV Code, this BOD is well within its limits to conduct business with the current sitting members of the BOD. At the adjournment of the Annual Meeting, there were the minimum of 5 BOD. With this being said, it becomes the responsibility of the sitting BOD to either conduct business with the current 5, or cause the appointment of additional BOD. Should an appointment be made to the BOD, by the BOD, it will be done strictly based on professionalism, experience, the needs of the Corporation and background of the individual being considered and anything less would be an act of negligence on this BOD!
